End-User License Agreement

Outstanding Pet Care Admin Suite — QBO Integration

This End-User License Agreement ("Agreement") governs the use of the Outstanding Pet Care Admin Suite QBO Integration application (the "Application"), a private software application developed and operated by Laura Laaman & Associates, LLC, doing business as Outstanding Pet Care ("Company," "we," "us," or "our"). By connecting the Application to a QuickBooks Online company file or otherwise using the Application, you ("you" or "User") agree to the terms of this Agreement.

1. Nature of the Application

The Application is a private, internal software tool. It is used solely by Outstanding Pet Care and its affiliated operating entities to synchronize accounting data between the Company’s Admin Suite and the Company’s own QuickBooks Online company files. The Application is not offered to, sold to, or made available for use by the general public or by any third party outside the Company and its affiliated entities.

2. License Grant

The Company grants authorized internal users a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the Company’s internal accounting and business operations. No rights are granted to any party outside the Company and its affiliated operating entities.

3. Permitted Use

The Application may be used only for lawful internal accounting purposes, including the creation and synchronization of journal entries and the reading of chart-of-accounts information between Outstanding Pet Care Admin Suite and the Company’s QuickBooks Online company files. You agree not to use the Application for any purpose other than the Company’s internal business operations.

4. Intuit and QuickBooks Online

The Application integrates with QuickBooks Online, a product of Intuit Inc. ("Intuit"). Your use of QuickBooks Online is governed by your separate agreement with Intuit. The Company is not affiliated with, endorsed by, or sponsored by Intuit. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. The Application accesses QuickBooks Online data only through Intuit’s authorized API and only with valid authorization granted by the Company.

5. Data

The Application processes the Company’s own accounting data. The Company’s handling of data is described in the Privacy Policy, which is incorporated into this Agreement by reference. The Application does not sell data and does not share data with third parties except as required to provide the accounting-synchronization function (for example, transmitting journal entries to the Company’s own QuickBooks Online company files through Intuit’s API).

6. Security

The Company maintains reasonable technical and organizational measures to protect data processed by the Application, including encryption of authentication credentials at rest and encryption of data in transit. No method of transmission or storage is completely secure, and the Company cannot guarantee absolute security.

7. Disclaimer of Warranties

The Application is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Application will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to use the Application.

9. Termination

The Company may suspend or terminate access to the Application at any time, with or without cause. Upon termination, the license granted under this Agreement ends and you must cease all use of the Application.

10. Changes to this Agreement

The Company may update this Agreement from time to time. The updated Agreement will be posted at this URL with a revised effective date. Continued use of the Application after an update constitutes acceptance of the revised Agreement.

11. Governing Law

This Agreement is governed by the laws of the State of Connecticut, without regard to its conflict-of-law provisions.
